OOO «TNH SARMOYA» (“Company”) offers hereby to sign an agreement to participate in the «UZBEKISTAN PASS» discount program (“Program”). This document has a status of an official written public offer and was drawn up in compliance with the Civil code of the Republic of Uzbekistan. Accepting this offer by purchasing the Uzbekistan Pass discount card you enter into this Agreement under the following terms and conditions:

1. Terms and definitions

As used in this Agreement, the following terms will have the meanings set forth below:

Company – ООО «TNH SARMOYA» that provides functionality of the program and has the exclusive rights for management and development of the program.

Program member – any natural with capacity to act and legal person that has entered into this Agreement by performing any acts in accordance with it and has got the Uzbekistan Pass discount card.

Card holder – any natural person who introduces a card to benefit.

Parties to this Agreement (“Parties”) – the Company and the Program member.

Plastic card with the logo of «Uzbekistan Pass» (“Card”) – a card issued by the Company (or any other legal person concluded a contract for issuing the cards with the trademark of the Program with the Company) intended for the Program member or Card holder to benefit when paying for goods and services of participating in the Program companies.

Activated discount card – a discount card with a printed serial number and activation code.

Discount program «Uzbekistan Pass» (“Program”) – a discount system providing Program members or Card holders with discounts and concessions from participating companies.

Participating companies (“Companies”) – companies and their trade and service offices that have concluded contracts with the Company for providing Program members or Card holders with discounts and concessions on their traded goods (works/services).

Goods (works, services) – legal, commercial permitted by the legislation of the Republic of Uzbekistan goods (works, services). Responsibility for the quality of the goods (works, services) and their compliance with laws of the Republic of Uzbekistan is confined to the Company.

2. Participation in the Program

2.1. A natural person becomes a Member purchasing the Uzbekistan Pass discount card in offices of the Company, Companies or on the website of the Program www.uzbekistanpass.uz. Since the receipt of the card this person is covered by modalities for participation specified in this Agreement.

2.2. The Company is entitled to refuse to admit applicants to membership of the Program in case of absence of technical or any other opportunity for it.

2.3. List of Companies, conditions of their participation and list of discounted wares (works, services) you can find on the website www.uzbekistanpass.uz and in mobile apps.

3. Obligations of Parties

3.1. Obligations of the Company

3.1.1. To ensure an uninterrupted round-the-clock operation of the Program and its information safety.

3.1.2. To replace the Card in case of its damage or loss within 3 (Three) days since the written statement by the Program member on a cost-covering basis.

3.1.3. In case of official notification from the Company or its members about cards with the Company’s trademarks that were issued without the authorization of the Company, to block their service and to ensure that these cards are out of circulation through the early notification of their serial number and IN to all Program members.

3.1.4. To take measures under concluded partner agreements with Companies in case of their non-compliance with the obligations (providing Program members with discounts and concessions) if the Program member or Card holder has contacted the Company within 3 (Three) days since the denial of providing discounts or concessions.

3.2. Obligations of Program members

3.2.1. To adhere to the terms of this Agreement and the Terms of using the discount card.

3.2.2. To take care of the Card properly.

3.2.6. Not to use the Card for unlawful purposes,  for rights of third parties violations and for purchasing goods (works, services) that are illegal in the Republic of Uzbekistan.

3.2.7. To notify the Company of  loss, theft or damage of the Card immediately, otherwise the Company is not responsible for using the Program member’s Card by third parties.

3.2.8. To notify the Company within 3 (Three) working days of denial of providing discounts or concessions which are published on the website www.uzbekistanpass.uz.

4. Amendment and termination of the Agreement

4.1. This Agreement and the Terms of using the discount card may be modified or amended by the Company unilaterally by placing the information on the website www.uzbekistanpass.uz. The Company always notifies Program members of all significant changes.

4.2. This Agreement is concluded for a validity period of the card and may be terminated any time on the initiative of the Company or Program member.

4.3. The Company reserves the right to suspend or stop the Program any time after giving three months notice on the website www.uzbekistanpass.uz.

5. Responsibility of the parties

5.1. In cases of non-performance or improper performance of their obligations  Parties bear responsibility as set forth by laws of the Republic of Uzbekistan and the conditions of this Agreement.

5.2. The Company is not liable for any damages (incl. lost profits) of the Program member and/or third parties resulting from participation in the Program.

5.4. The Company is not responsible for any failures and errors in hardware and software system of the Program, for temporary inability of the Program member to get discounts and concessions.

5.5. Parties bear responsibility for non-performance or improper performance of their obligations under this agreement unless it is proved that the proper performance was impossible due to force-majeure (military operations, epidemics, fires, natural disasters, laws and regulations and acts of state and other authorized agencies).

5.6. The Company has no financial or legal responsibility in case of Companies’ denial of providing discounts or concessions.

5.7. The Company is not liable for suspension or termination of the Program against any Companies and for amendments which they make without previous notice.

6. Settlement of disputes

6.1. All disputes and difference which may arise between the parties hereto in connection with this agreement are considered in mandatory compliance with complaints procedures.

6.2. A claim to the Company is filled in written form and must be decided within 20 (Twenty) days from the date of receipt. If an agreement between the parties is not achieved all disputes will be transferred to proceed to a court at the location of the Company.

7. Other provisions

7.1. “Uzbekistan Pass” is a registered brand-name of the Company in Latin characters. Use of this name, logos, brands and products described on the website www.uzbekistanpass.uz and in mobile apps is prohibited without written approval of the Company.

7.2. The Company reserves the right to modify and improve the Program taking into account new requirements and capabilities in IT.

7.3. Companies are not accredited to deputize, to make representations or warranties on behalf of the Company and the Company makes no commitment with regard to such representations or warranties.

7.4. The Program member assures that all conditions of this Agreement are clear for the member and the member accepts them fully and unconditionally.
